Terms and Conditions for SCOTSMAN® Qualification Programme
1. Introduction
1.1 These terms and conditions (the "Agreement") govern the use of the SCOTSMAN® sales qualification methodology (the "Service") provided by Advanced Selling Skills Academy Ltd ("ASSA"), a company incorporated and registered in England and Wales with company number 4413191 and having its registered office at/o JWP Creers, Foss Place, Foss Islands Road, York, YO31 7JU, United Kingdom.
1.2 By clicking "Accept" during the registration process, you ("Licensee" or "you") acknowledge that you have read, understood, and agree to comply with and be bound by this Agreement, which is subject to the laws of England and Wales. If you do not agree with these terms and conditions, you must not use the Service.
2. Licence Grant
2.1 ASSA grants the Licensee a non-exclusive, non-transferable, and revocable licence to access and use the Service, subject to the following conditions:
(a) The Licensee may add up to 100 additional users within the Licensee's organization. (b) The access is granted for a period of twelve (12) months from the date of registration. (c) The Service is provided free of charge. (d) The Service is provided without any warranties or support, express or implied.
2.2 ASSA reserves the right to withdraw the Service at any time without notice or liability to the Licensee.
3. Access and Use
3.1 Access to the Service is exclusively reserved for individuals who are duly registered on the platform ("Authorized Users").
3.2 The use of the SCOTSMAN® Qualification form, available from the resources section of the platform, is included and subject to a separate End User Licence Agreement (EULA).
4. Intellectual Property and Prohibited Use
4.1 The SCOTSMAN® name and methodology are registered trademarks of ASSA. All associated training materials and planning tools (the "Materials") are protected by copyright and other intellectual property laws.
4.2 Any use of the SCOTSMAN® methodology, Materials, or planning tools without a valid licence is strictly prohibited. ASSA will take appropriate legal action against any individual or organization found to be in breach of this Agreement.
4.3 Unauthorized training:
(a) Any individual not accredited by ASSA who provides training on the SCOTSMAN® methodology to other individuals or organizations, whether for a fee or free of charge, is infringing the SCOTSMAN® trademark and is not permitted to do so. Such individuals risk legal enforcement actions to desist. (b) Any unaccredited individual claiming to provide, or found to be providing, training on the SCOTSMAN® methodology risks legal proceedings for brand damage.
5. Use of SCOTSMAN® by leavers.
5.1 Authorized Users who leave the registered organization and join a new organization must register under the new organization to continue using the SCOTSMAN® form.
5.2 All other individuals must also register to be licensed to use the SCOTSMAN® form.
6. Limitation of Liability
6.1 To the fullest extent permitted by law, ASSA shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
(a) The Licensee’s use of or inability to use the Service; (b) Any unauthorized access to or use of the Service; (c) Any interruption or cessation of the Service; (d) Any bugs, viruses, or the like that may be transmitted to or through the Service by any third party.
7. Governing Law and Dispute Resolution
7.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
7.2 Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
